Experience

Mr. Herzog has an extensive and wide-ranging background in advising California businesses and individuals in a variety of circumstances and transactions, from simple to complex, formation to liquidation, sole proprietor to large corporation, employee to CEO.

With 15 years’ experience, he has negotiated and documented mergers, acquisitions, asset purchases, stock purchases, reorganizations, recapitalizations, buy-sells, partnership agreements, nondisclosures, licensing agreements, distribution agreements, manufacturer’s representative agreements, consulting contracts, software development agreements, option agreements, and commercial real estate purchase and sale contracts. He has advised clients regarding their rights and duties as partners, members, shareholders, officers, and directors. He has also frequently participated in dispute and dissolution negotiation.

His entity formation practice includes profit and nonprofit entities such as educational, religious and charitable organizations. He has also advised clients regarding private placement memorandum and exempt offerings.

Mr. Herzog’s clients have included a wide range of businesses: contractors, real estate brokers, home building suppliers, fast-food restaurant owners/franchisees, mortgage brokers, real estate developers, real estate partnerships, jewelers, wine grower associations, bicycle shops, aerobics studios, clothing stores, restaurants, bars, doctors, dentists, plumbers, acupuncturists, day traders, roofers, scientists, and barbeque sauce creators.

In addition to working alongside experienced business and real estate litigators at Pinnacle, Mr. Herzog’s prior litigation experience provides him with invaluable insight into preventative legal maintenance, whether he is advising a business selling products or services to the public, a multi-owner business, or a business with new and inexperienced leadership.

Mr. Herzog is certified as a specialist in taxation by the State Bar of California Board of Legal Specialization. His tax practice includes a wide range of advice for individuals, corporations, LLCs, and partnerships. With an advanced legal degree in tax (LL.M., 2003), he is able to confidently provide a wide range of tax advice while still also being able to guide the client through the non-tax aspects of a simple or complex transaction.

In addition to his legal practice, Mr. Herzog also volunteers as a Lawyer in the Library for the Alameda County Bar Association, providing free legal advice to patrons of the downtown Oakland library.

Client Testimonials

I am incredibly impressed with your turnaround time, your prioritization of my issues, and quality of work. All are absolute top notch. - Heather Mason, A Caspian Production Inc
I have known David Herzog for several years. He assisted me through a guardianship proceeding in the probate court in Alameda County. He has also given me plenty of good advice about my small business in Oakland. His knowledge base is extensive, from tax to business to corporate to real estate to intellectual property, as well as general probate matters. He has given me great advice on how I should set up my business, and has very practical business advice, even when it's not strictly from a legal perspective. He's incredibly responsive to my emails and phone calls, and he always follows through to make sure things get done. I would not hesitate for a moment to recommend David as an attorney for you or your business. - Susan Royce, Royce Printing, Oakland
David has been representing my small firm in a contentious and difficult contract negotiation. He has been terrific. The transaction is complex and involves international issues, and in spite of the fact that he became involved in the middle, got quickly up to speed, and has significantly contributed to what looks likely to be a good mutually beneficial result among the parities. I would certainly recommend David to anyone needing quality advice or representation. - Sid Johnston, The Development Fund
I am a small business owner (day spa) in Oakland . When I started up my business a few years ago, I had a lot of questions and things I needed to do. David was great at answering all of my questions, whether it was about the new lease on my space (and later renewing the lease), whether I should incorporate my business, questions about partnerships and employees, and some issues around taxes. Not only did he have a wide range of knowledge to answer my questions, but he was also able to give me some alternatives to my plans, and to anticipate what might happen if I did things one way or the other. Hiring him saved me a lot of time and expense down the road. I would recommend David for anyone starting or running a business, or anyone who has questions about taxes (business or personal). - Svetlana Jassi, Owner, Simply Gorgeous Day Spa
I am the CEO of a company called TickerMine. David is our attorney and he has done a great job dealing with the very unusual situations that start-ups get themselves into. He is forward thinking - he tries to think of problems before they arrive and prepares us well for actions we need to take and let's us know what steps we do not need to take at times. On top of being a diligent and thorough attorney he is very personable and treats us with great respect despite our lack of legal knowledge. - Casey Ryan, Owner, TickerMine
You are a miracle worker. - Elyce Zahn, The Zahn Group, Inc., San Francisco
I recommend David highly in his business and legal acumen, integrity, work ethic and attention to detail. He would be an asset to you and your clients. - Joyce Reitman, EMS Partners
Thanks for all the help. It would not have been so smooth without you. - Gary Scoma, Marin Business Entrepreneur
