David Herzog joined Pinnacle Law Group in 2007. Mr. Herzog’s practice areas are tax, business, real estate, and sports and entertainment law.

Experience

Mr. Herzog has an extensive and wide-ranging background in advising California businesses and individuals in a variety of circumstances and transactions, from simple to complex, formation to liquidation, sole proprietor to large corporation, employee to CEO.

With over 14 years’ experience, he has negotiated and documented mergers, acquisitions, asset purchases, stock purchases, reorganizations, recapitalizations, buy-sells, partnership agreements, nondisclosures, licensing agreements, distribution agreements, manufacturer’s representative agreements, consulting contracts, software development agreements, option agreements, and commercial real estate purchase and sale contracts. He has advised clients regarding their rights and duties as partners, members, shareholders, officers, and directors. He has also frequently participated in dispute and dissolution negotiation.

His entity formation practice includes profit and nonprofit entities such as educational, religious and charitable organizations. He has also advised clients regarding private placement memorandum and exempt offerings.

Mr. Herzog’s clients have included a wide range of businesses: contractors, real estate brokers, home building suppliers, fast-food restaurant owners/franchisees, mortgage brokers, real estate developers, real estate partnerships, jewelers, wine grower associations, bicycle shops, aerobics studios, clothing stores, restaurants, bars, doctors, dentists, plumbers, acupuncturists, day traders, roofers, scientists, and barbeque sauce creators.

In addition to working alongside experienced business and real estate litigators at Pinnacle, Mr. Herzog’s prior litigation experience provides him with invaluable insight into preventative legal maintenance, whether he is advising a business selling products or services to the public, a multi-owner business, or a business with new and inexperienced leadership.

Mr. Herzog is certified as a specialist in taxation by the State Bar of California Board of Legal Specialization. His tax practice includes a wide range of advice for individuals, corporations, LLCs, and partnerships. Areas in which Mr. Herzog has provided extensive tax advice include personal income tax, corporate and partnership tax, real estate property tax, real estate income tax, tax procedures, and succession of family-owned businesses and real estate. With an advanced legal degree in tax (LL.M., 2003), he is able to confidently provide a wide range of tax advice while still also being able to guide the client through the non-tax aspects of a simple or complex transaction.

In addition to his legal practice, Mr. Herzog also volunteers as a Lawyer in the Library for the Alameda County Bar Association, providing free legal advice to patrons of the downtown Oakland library.
